Terms and conditions for using FinancialAha, including template licensing, payment terms, and usage policies.

By using the FinancialAha website accessible at https://www.financialaha.com and its subdomains (collectively, the “Website”), or purchasing any digital products (collectively, the “Products”), you (“you” and “your”) agree to be bound by the following terms and conditions (the “Agreement”). This Agreement covers all present and future features provided by the Website and Products. The Website and Products are provided and operated by Write Next SRL (“FinancialAha”, “Company”, “we”, “us”, or “our”). By accessing or using the Website or purchasing Products, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety and any supplemental terms or policies incorporated in this Agreement, such as our Privacy Policy.

1. Acceptance of Terms

By accessing or using the Website, you affirm that you are at least eighteen (18) years old, or the age of majority in your jurisdiction, and are fully able and competent to enter into and comply with the terms and conditions of this Agreement.

IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF AN ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS AND CONDITIONS, IN WHICH CASE THE TERMS “YOU” OR “YOUR” SHALL REFER TO SUCH ENTITY.

IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR USE THE WEBSITE OR ANY FINANCIALAHA RESOURCES DOWNLOADED FROM THE WEBSITE.

We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. We will provide notice of such changes by posting the updated terms on the Website and/or by sending an email to the address you provided. Your continued use of the Website following the posting of any changes to this Agreement constitutes acceptance of those changes. It is your responsibility to review this Agreement periodically for changes.

2. Definitions

Capitalized terms used in this Agreement are defined in this Section and throughout the document. Section headings are for convenience only and do not affect interpretation.

“Content” encompasses text, data, information, images, graphics, sounds, videos, audio clips, links, and similar materials available on, but not limited to, the Website and third-party websites.

“Products” refers to the digital products available on our website, including free downloads and those offered for a one-time payment.

“Resources” includes, but is not limited to, the Website, Content, Products, and any other materials provided by FinancialAha. This term includes Third-Party Content unless context suggests otherwise.

“Third-Party Providers” refers to any third-party companies, services, or individuals that provide services, content, or functionality integrated with or linked from the Website, including but not limited to payment processors, hosting providers, and analytics services.

“Intellectual Property Rights” cover all rights to inventions, works of authorship, designs, software, technical information, databases, know-how, mask works, methods, technology, and other intellectual property, including but not limited to patents, copyrights, trademarks, and trade secrets.

“Law” refers to any applicable statute, regulation, ordinance, or rule.

“Privacy Policy” refers to FinancialAha’s Privacy Policy available at /privacy-policy/, as updated from time to time.

“FinancialAha Affiliates” refers to FinancialAha’s affiliates, directors, officers, employees, representatives, consultants, agents, partners, suppliers, distributors, and/or licensors.

3. Website Access

You are granted a personal, limited, non-exclusive, non-assignable, non-sublicensable, non-transferable, revocable license to access and use the Website (and its related Content and Products) for personal or internal business purposes, provided you comply with this Agreement (collectively, the “License”). Except for the License, FinancialAha does not grant you any right or license in or to any of FinancialAha’s or a third party’s Intellectual Property Rights. In its sole discretion, FinancialAha may, at any time, with or without notice, and for breach of this Agreement, revoke this License, suspend the Website, and/or terminate this Agreement, and modify, remove, and/or otherwise restrict access to all or any part of the Website. Notwithstanding the foregoing, for non-material breaches, FinancialAha will provide fourteen (14) days written notice and an opportunity to cure such breach before taking any such action, unless the breach poses an immediate risk to the Website, other users, or FinancialAha’s operations.

4. Usage Restrictions

You agree to use the Website and all FinancialAha Resources in a lawful, ethical, and responsible manner, and comply with all applicable laws and regulations.

In using the Website, as a condition to the License, you agree not to (and shall not permit or encourage any third party to) do any of the following, in whole or in part:

  • Engage in any activities that are illegal, fraudulent, or deceptive;
  • Copy, reproduce, republish, “frame”, or “mirror” the FinancialAha Resources in whole or in part, or access the FinancialAha Resources via automated processes for scraping, data harvesting, or similar purposes;
  • Sell, assign, lease, lend, rent, distribute, or make available any FinancialAha Resources to any third party, including use of any FinancialAha Resources as part of a time-sharing, outsourcing, or service bureau environment;
  • Modify, translate, decompile, disassemble, reverse engineer, decrypt, or attempt to discover the source code or underlying ideas and algorithms of any FinancialAha Resources;
  • Remove, conceal or alter any proprietary rights notices on FinancialAha Resources in whole or in part;
  • Circumvent or interfere with security-related features of FinancialAha Resources;
  • Create derivative works from FinancialAha Resources or use them to develop services or Content similar to or competing with any of the FinancialAha Resources;
  • Upload, publish, or transmit malicious software or code intended (or that has the potential) to damage or disrupt, or otherwise misuse, any FinancialAha Resources;
  • Take actions that impose an unreasonable load on the Website’s infrastructure, such as excessive automated access or requests, or otherwise interfere with its proper functioning, as determined in FinancialAha’s sole discretion;
  • Use FinancialAha Resources to infringe, misappropriate or violate any third-party’s Intellectual Property Rights, privacy or Law;
  • Use the FinancialAha Resources to engage in any advertising or marketing without our express written consent;
  • Pay for Products with fraudulent payment means, such as a stolen credit card.

5. Usage of Products

We provide various digital Products, some available at no cost and others available for purchase. These Products may include, but are not limited to, spreadsheet templates, e-books, and other downloadable materials. Upon completion of a purchase, you will receive a downloadable link or access to the Product.

Upon download or purchase, you are granted a non-exclusive, non-transferable license to use the Products solely for personal or internal business purposes, in compliance with this Agreement and all applicable laws and regulations.

6. Third-Party Links and Content

The Website may contain links to third-party websites, services, and content (collectively, “Third-Party Content”). These links are provided for your convenience only and do not imply any endorsement by FinancialAha of the Third-Party Content or any association with its operators. FinancialAha does not control, review, approve, monitor, endorse, warrant, or make any representations with respect to any Third-Party Content and has no responsibility for the accuracy, legality, availability, or appropriateness of any Third-Party Content.

Please be aware that when you access third-party sites, you do so at your own risk. We strongly encourage you to review the privacy policies and terms of use of any third-party sites you visit. FinancialAha shall not be liable for the privacy practices or content of third-party websites or services. When you use a link to go from our Website to another website, this Agreement and our Privacy Policy are no longer in effect. Your browsing and interaction on any other website, including those that have a link on our Website, are subject to that website’s own rules and policies. Please read those rules and policies before proceeding.

7. Intellectual Property Rights

All Intellectual Property Rights related to FinancialAha Resources, including but not limited to trademarks, copyrights, patents, trade secrets, and proprietary information, are and shall remain the exclusive property of FinancialAha or its licensors. These rights include any improvements, modifications, or enhancements made to the FinancialAha Resources.

With the exception of the License granted herein, all Intellectual Property Rights related to the FinancialAha Resources, including those held by FinancialAha and its licensors and suppliers, are fully reserved. Any rights not explicitly granted to you under this Agreement are retained by FinancialAha, its affiliates, licensors, and suppliers.

8. Warranty Disclaimers

The FinancialAha Resources are provided and made available to you “as is” and “as available”, with all faults, and without any representation, guarantee, warranties or condition of any kind, either express, implied, statutory or otherwise. FinancialAha disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, satisfactory quality, title, and non-infringement, or that otherwise arise from a course of performance or dealing, or usage of trade, all of which are hereby disclaimed by FinancialAha and its licensors and suppliers. No oral or written information given by or on behalf of FinancialAha shall create or give rise to a representation, warranty, guarantee, or condition. FinancialAha does not warrant that the Website or any FinancialAha Resources will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You expressly agree that your use of the Website and FinancialAha Resources is at your sole risk.

FinancialAha does not warrant that your use of, or reliance upon, FinancialAha Resources will:

  • meet your requirements or expectations;
  • be effective, useful, reliable, available, accurate, or complete;
  • be uninterrupted, error-free, or free of viruses or other harmful components, or that defects will be corrected;
  • satisfy, or comply with any industry standards and requirements;

FinancialAha does not warrant the accuracy, completeness, or reliability of any content or materials provided by third parties that may be accessible through the FinancialAha Resources. Any reliance you place on such third-party content is at your own risk.

The FinancialAha Resources, including our spreadsheet templates and any information provided on the Website, are meant solely for informational and tracking purposes. Such materials are not intended as, nor should they be understood or construed as, financial, tax, or legal advice, and may not be relied on as investment advice, expert opinions, or other recommendations of any proposed or potential investment transaction.

FinancialAha expressly disclaims any liability for reliance on the FinancialAha Resources, including our Products, or any related content as a basis for making financial or investment decisions. We strongly advise that you seek the counsel of qualified financial services professionals who maintain a fiduciary relationship with you prior to making any financial or investment decisions.

Our spreadsheet Products, which may include calculators, trackers, and projections, are tools designed exclusively for informational and tracking purposes. They do not serve as a comprehensive financial plan and should not be construed as such. Any calculations, projections, or results generated by our Products are based solely on the data you input and do not constitute financial advice. For a complete financial plan and tailored advice, we recommend consulting with licensed financial services professionals.

While we strive to ensure the accuracy of our spreadsheet Products, errors in formulas, calculations, or functionality may occur. We may, at our sole discretion, correct any errors after becoming aware of them. However, FinancialAha cannot be held responsible for the accuracy or correctness of any spreadsheet Products, including any errors, omissions, or inaccuracies in formulas, calculations, or results. It is your sole responsibility to review, verify, and validate any data, calculations, or outputs generated by our Products before relying on them for any purpose. You acknowledge that you make your own financial decisions independently and assume full responsibility for such decisions.

We are not responsible for any data loss, corruption, or changes to your data resulting from use of our Products, third-party platform changes (including Google Sheets), user error, or any other cause.

Your access and use of any and all FinancialAha Resources and Products is at your sole risk.

By purchasing or downloading any Product, you expressly acknowledge and agree that:

(a) The Products are for informational and tracking purposes only and are NOT substitutes for professional financial advice; (b) You will NOT make any financial, investment, or tax decisions based solely on outputs from our Products; (c) You assume ALL risk for any decisions made using information from our Products; (d) you have been advised to, and will, consult qualified professionals before acting on any information.

Without limitation, you should NOT use our Products to:

  • Decide whether to buy, sell, or hold investments without independent professional advice;
  • Determine retirement readiness without verification by a licensed financial planner;
  • Make tax planning decisions without consulting a qualified tax professional;
  • Calculate loan affordability for major purchases without lender verification;
  • Rely on any projection, calculation, or output as guaranteed or accurate.

The disclaimers set forth herein shall be enforceable to the fullest extent permitted by applicable Law. Notwithstanding the foregoing, you may have statutory rights or protections under the Laws of your jurisdiction that may restrict or negate the effectiveness of certain disclaimers or limitations described herein. In such cases where applicable Law prohibits or limits the enforceability of any disclaimer or limitation, those disclaimers or limitations shall not apply to you, and both you and FinancialAha acknowledge and agree that such disclaimers or limitations shall be modified or rendered inapplicable to the extent necessary to comply with such Laws.

9. Limitation of Liability

To the fullest extent permitted by applicable Law, FinancialAha and FinancialAha Affiliates shall not be liable under, or otherwise in connection with, this Agreement, for:

  • any indirect, incidental, special, consequential, or punitive damages;
  • any loss of profits, loss of business, loss of revenue, loss of anticipated savings, loss of opportunity, wasted time or expenditure, or other economic loss, whether incurred directly or indirectly;
  • any loss of, or damage or interruption to, data, networks, information systems, reputation, use, or goodwill;
  • other intangible losses; and/or
  • the cost of cover, or of procuring any substitute goods or services.

In no event shall the combined aggregate liability of FinancialAha and FinancialAha Affiliates under, or otherwise in connection with, this Agreement exceed the amount actually paid by you to FinancialAha for the specific Product giving rise to the claim.

To the maximum extent permitted by applicable law, you hereby irrevocably release FinancialAha and all FinancialAha Affiliates from all responsibility, liability, claims, demands, and/or damages of every kind and nature, known and unknown, arising out of or in any way connected with: (x) disputes between or among users of the Website; and (y) Third-Party Providers and Third-Party Content.

The foregoing exclusions and limitations shall apply: (i) To the maximum extent permitted by applicable law (for instance, if a jurisdiction does not allow the exclusion or limitation of liability for consequential or incidental damages, or liability for personal injury or death caused by negligence); (ii) Even if FinancialAha has been advised, or should have been aware, of the possibility of such losses, damages, or costs; (iii) Even if any remedy specified in this Agreement fails of its essential purpose; and (iv) Regardless of the theory or basis of liability, including without limitation breach of warranty, negligence, misrepresentation, strict liability, or other contract, tort, or statutory liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless FinancialAha and FinancialAha Affiliates from and against any and all claims, losses, damages, judgments, liabilities, costs, expenses, or fees (including reasonable attorneys’ fees and court costs) arising out of or related to: your use or misuse of the FinancialAha Resources, your violation of this Agreement, or your use of any information obtained from the Website.

FinancialAha reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify FinancialAha, and you agree to cooperate with FinancialAha’s defense of these claims. You agree not to settle any matter without the prior written consent of FinancialAha. FinancialAha will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

11. Terms of Payment

Prices

All paid Products are priced as specified on our Website at the time of the purchase. Prices are quoted in US Dollars and are exclusive of any applicable taxes, fees, or charges unless otherwise indicated. We reserve the right to modify prices at any time, without any prior notice. The prices applicable to your purchase will be the price displayed at the time of your transaction. Any additional charges, including but not limited to taxes, will be clearly stated at checkout. Payment must be made using the methods specified on our Website.

One-time Payments

Paid Products are subject to a one-time payment with no recurring charges, unless explicitly stated otherwise.

Refund Policy

All sales of digital Products are final. Due to the nature of digital goods - which can be downloaded, copied, and used immediately upon purchase - no refunds will be issued once a transaction is completed.

By completing a purchase, you acknowledge and agree that you are buying a digital product and that no refund will be provided. We encourage you to review the product description, features, and any available previews carefully before making a purchase.

If you rely on dispute or chargeback mechanisms of third-party payment processors, you agree to reimburse FinancialAha for any costs incurred as a result of a chargeback or dispute (including dispute fees) if the dispute is resolved in FinancialAha’s favor. In case of a dispute or chargeback, we reserve our right to suspend your access to future purchases, downloads, and support until settlement of the dispute.

This Agreement and any disputes related to it or the use of the FinancialAha Resources shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of laws principles.

Before initiating any formal legal action or arbitration, both parties agree to attempt to resolve any dispute arising from this Agreement through good faith negotiation. The aggrieved party shall send written notice describing the dispute to the other party via the contact methods specified in the Notice subsection of Section 13. Both parties shall have thirty (30) days from receipt of such notice to attempt to resolve the dispute amicably. If the dispute remains unresolved after this period, either party may proceed with formal legal action or arbitration as described herein. The thirty (30) day negotiation period shall toll the limitation period set forth below.

If the good faith negotiation described above fails to resolve the dispute, either party may initiate binding arbitration in Bucharest, Romania, in accordance with the Romanian Arbitration Rules. Arbitration shall be conducted using the Romanian language as the primary language. While a legalized English translation might be available, FinancialAha is not obligated to provide such a translation. The costs of arbitration, including any legal fees, shall be borne by the party against whom the arbitration award is made, unless otherwise directed by the arbitrator.

Either party may elect to pursue the dispute in the courts of Bucharest, Romania, instead of arbitration. You and FinancialAha agree to submit to the exclusive jurisdiction of the courts located within Bucharest, Romania, to resolve any legal matter arising from this Agreement. Notwithstanding this, you agree that FinancialAha shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

You and FinancialAha further agree that any cause of action arising out of or related to the FinancialAha Resources must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

You agree to resolve any disputes with FinancialAha on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration against FinancialAha.

Any claims or damages that you may incur hereunder shall only be enforceable against FinancialAha, and not any other entity (such as FinancialAha Affiliates).

Moreover, if you are a consumer (as defined in the Law of your jurisdiction), this Agreement is not intended to, and shall not, exclude or limit any mandatory rights you may have under the consumer protection Laws of your jurisdiction.

The language of this Agreement is expressly agreed to be English. You hereby irrevocably waive, to the maximum extent legally permitted, any law applicable to you requiring that this Agreement be localized to meet your language (as well as any other localization requirements), or requiring an original (non-electronic) signature or delivery or retention of non-electronic records. In case of discrepancy between the English version of this Agreement and any translated version, the English version shall prevail.

We may, but are not obligated to, provide you with copies of this Agreement upon written request. You are encouraged to print a copy of this Agreement for your records. When you visit the Website, submit information, or send us an email, you are communicating with us electronically. You consent to receive communications from us electronically. While we may choose to provide you notice under this Agreement by postal mail, we may also choose to provide notice by email (in which case the notice will be deemed given the day after sending) and/or by posting notices on the Website (in which case the notice will be deemed given when you access the Website).

Additionally, you acknowledge and agree that by clicking on any “SUBMIT”, “I AGREE”, “I ACCEPT”, or similar button, you are providing a legally binding electronic signature. You hereby agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed through the Website.

13. Miscellaneous

Entire Agreement

This Agreement constitutes the entire agreement between you and FinancialAha regarding the use of the FinancialAha Resources and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter. You acknowledge and agree that in entering into this Agreement you have not relied on any statement or representation (whether negligently or innocently made) not expressly set out in this Agreement, such as statements and explanations in any FAQs, summaries or explanatory guides regarding this Agreement, or other marketing material on the Website.

No amendment or modification of this Agreement will be binding unless in writing and signed by an authorized representative of FinancialAha. Any waiver of any provision of this Agreement will be effective only if in writing and signed by an authorized representative of FinancialAha. Electronic signatures or written agreements sent via email shall be deemed acceptable.

Failure by FinancialAha to enforce any right or provision of this Agreement will not be considered a waiver of such right or provision.

Assignment

FinancialAha may assign or transfer its rights, duties, and obligations under this Agreement without your consent, and without notice or obligation to you in the event of, but not limited to, sale of all or substantially all of the FinancialAha assets, or any merger or other business consolidation to which FinancialAha is a party. You may not assign or in any other way transfer this Agreement or any of your rights, duties, or obligations under this Agreement without the prior written consent of FinancialAha, which consent may be withheld at FinancialAha’s sole discretion. Any purported assignment in violation of this provision shall be null and void.

Relationship of the Parties

Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between you and FinancialAha. Both parties are independent contractors. Neither party is authorized to act as an agent or bind the other party except as expressly stated in this Agreement. You acknowledge that FinancialAha is not providing any legal, financial, or professional advice to you.

No Third Party Beneficiaries

Unless explicitly stated otherwise in this Agreement (such as FinancialAha Affiliates, FinancialAha licensors and suppliers), this Agreement does not confer any rights or benefits to any third parties, nor is any third party entitled to enforce any provisions herein.

Feedback

By submitting feedback, suggestions, or similar ideas for or about any FinancialAha Resources (collectively, “Feedback”), you agree that: (a) you grant FinancialAha all right, title, and interest (including without limitation all Intellectual Property Rights) in and to the Feedback; (b) FinancialAha can use, reproduce, modify, publish, and distribute such Feedback for any purpose, including for the improvement of our services and Website; (c) FinancialAha is under no obligation to use, acknowledge, or compensate you for any Feedback provided; (d) you acknowledge that you will not receive any compensation for any such Feedback; (e) the Feedback does not contain confidential or proprietary information belonging to you or any third party; (f) FinancialAha may (itself and/or via third parties), in perpetuity, use, copy, distribute, sell, create derivative works of, and otherwise commercially exploit the Feedback for any purpose and in any way, and without any restriction or obligations of any kind whatsoever; (g) FinancialAha will have no obligation to use, review, or respond to any Feedback; and (h) FinancialAha has no obligation to keep the Feedback confidential.

The Feedback you provide is non-confidential and you grant FinancialAha the right to use it without restriction. FinancialAha has no obligation to compensate you for any Feedback or to keep it confidential.

Notice

Except as stated otherwise in this Agreement, you agree that all notices, requests, consents, claims, demands, waivers, and other communications (collectively, “Notices”) hereunder shall be in writing and addressed to the parties through the contact page. It is your responsibility to ensure that the email address you provide is current and accurate.

Waiver

No failure or delay by either party in exercising any right, power, or privilege under this Agreement shall operate as a waiver of such right, power, or privilege. Any waiver of any provision of this Agreement must be in writing (for waivers by you, emails will be acceptable; for waivers by FinancialAha, the writing must be duly signed by an authorized representative of FinancialAha). A waiver of any breach of any provision of this Agreement shall not be deemed a waiver of any subsequent breach of the same or any other provision. The rights and remedies provided in this Agreement are cumulative and not exclusive of any rights or remedies provided by law.

Termination

You may terminate this Agreement by ceasing all use of the Website. Upon termination, you will lose access to the Website, future updates, and support services. However, your license to use any Products you have previously purchased shall survive termination, subject to continued compliance with the usage restrictions in this Agreement.

The following provisions shall survive termination of this Agreement: Section 4 (Usage Restrictions), Section 7 (Intellectual Property Rights), Section 8 (Warranty Disclaimers), Section 9 (Limitation of Liability), Section 10 (Indemnification), Section 12 (Legal and Governing Law), and this Section 13 (Miscellaneous).

Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from this Agreement, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced with a valid, legal, and enforceable provision that most closely reflects the original intent of the parties. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of this Agreement.

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor strikes, embargoes, governmental orders, or any other force majeure event beyond that party’s reasonable control.
